D2C Circle by Simpl – Terms and Conditions
These terms and conditions (“Terms and Conditions”) govern your participation in the B2B Merchant Referral Program “D2C Circle/Program” being conducted by One Sigma Technologies Private Limited (“Simpl/Company”). By participating in the Program, you hereby acknowledge to have read, understood, and agreed, on an irrevocable basis, to be legally bound by the most recent version of these Terms and Conditions in their entirety and all other applicable laws and regulations, without any limitation or qualification.
1. When is the Program?
The Program shall commence and be effective from 15 September 2023 and shall continue till 15 November 2023 (“Term”).
2. Who can participate?
The Program is exclusively open to Simpl’s (a) existing checkout partners (“Referrers“) and new business clients referred to Simpl by the Referrers (“Referees“).
3. What is the procedure?
Referrers and Referees should successfully complete the following actions to participate in the Program –
a) Referrers must share the designated D2C Circle referral form with the Referee;
b) The Referee must complete the sign-up process with their business name and contact number;
c) The Referee must execute the merchant agreement with Simpl; and
d) The Referee must finish integration and complete their first month of active utilization of Simpl’s checkout product.
4. What is the reward?
The Program is structured to reward both Referrers and Referees. Referees shall be eligible to receive instant discount credits on Simpl Checkout of up to INR 35,000 and Referrers shall be entitled to receive a cash bonus of up to INR 75,000 based on their total payment volume (TPV) transacted by the Referees during the Term.

For the purpose of these Terms and Conditions, Instant discount credits shall mean discount amount in ₹ for discount offer campaigns, and cash bonus shall mean cash in ₹.
Referrers and Referee’s shall be exclusively responsible for any and all applicable taxes levied on their rewards, if any. Simpl shall further have the right to withhold relevant taxes, as applicable. Simpl commits to provide the Referrers and Referee’s with essential tax documentation as required by relevant authorities.
5. When will I get the reward?
Referrer’s reward shall be disbursed within thirty (30) days from the Referee’s ‘sign up and 1-month live’ milestone. Cash bonuses for Referrers shall be remitted to the merchant’s business account designated for checkout account settlements.
Referee’s reward shall be determined and disbursed within thirty (30) days from the end of the Term, subject to the Referee actively using Simpl’s checkout product and the Referee’s TPV on expiry of the Term. Instant discounts on Simpl Checkout for the Referee shall be accessible for a one-month duration, constituting a Simpl-funded checkout offer applicable to all prepaid payment modes.
6. What are the other terms?
The Company expressly reserves the right to disqualify any Referrer or Referee found to be engaged in fraudulent or suspicious activities during the course of the Program.
The Company retains the unilateral prerogative to amend, alter, or terminate the Program, its stipulations, or its eligibility criteria at its sole discretion, without prior notice.
Referrers and Referees hereby mutually covenant to maintain the confidentiality of any non-public information shared during the Program.
If any provision of this Terms and Conditions shall be invalid or unenforceable to any extent for any reason including by reason of any applicable law, the remainder of the terms contained herein shall not be affected thereby, and each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by applicable law.
These Terms and Conditions shall be subject to and construed in accordance with the laws of India with the courts in Bengaluru India having exclusive jurisdiction.
